There's a file in minecraft.jar called 2char.png. find that, and erase all the parts that you want to be transparent on your character and then replace the old one with your new one.

I'm not sure about skins, but if you want to make a transparent image, like in resource packs and maybe try it on skins, there is a free program called Gimp that is an image editor/creator. it has multiple layers which include transparent ones.
If you are talking about the folder located at .minecraft\assets\skins, that is just a cache of all player skins that have been downloaded, including your own skins (I only see a single skin, my own, in this folder, saved using an encoded name) and everybody else on multiplayer (so if you play online a lot it can get very large).

This does apply to skins, it is art and an image. But worry not, for it is okay to edit a skin and use it personally as long as you do not say you made it. After this though, it gets increasingly difficult to use other players' skins, seeing as many are protective of their work, you can never be sure how far they will take this to get you in ...
